📊The Problem

Why NYC LLC Publication Costs $1,200+

Under Section 206 of the New York LLC Law, every LLC must publish in newspapers designated by the county clerk. NYC newspapers charge significantly more.

CountyTypical Cost
Manhattan
$1,200 – $1,600
Brooklyn
$1,100 – $1,400
Queens
$1,000 – $1,300
Bronx
$900 – $1,200
Staten Island
$800 – $1,100
Albany CountyWith County Change Add-On
$495

This isn't a flaw in your LLC or a mistake you made. It's simply how the system works.

The 120-Day Deadline

Under NY law, you must complete publication within 120 days of formation. Missing this deadline can result in:

Suspension of business authority
Can't enforce contracts in NY courts
Personal liability exposure

Good news: You can still publish after 120 days and restore full status.

This strategy is for NYC borough LLCs facing $1,000+ publication costs. If you're in another NY county, you already qualify for our low, fixed-price publication—no county change needed. Get started →

💡The Solution

The County Change Strategy Explained

New York law allows LLCs to change their county of organization. This is a routine administrative filing.

🔑

Key Insight

Your publication requirement is determined by the county listed in your Articles of Organization at the time of publication—not where you physically operate.

How It Works

1

File Certificate of Change to update county to Albany

2

Publish in Albany County newspapers (much cheaper)

3

File Certificate of Publication

4

File Certificate of Change to restore your LLC to your original county

Your business address stays exactly the same. The county change only affects where you publish—not your service of process address, mailing address, or physical location.

What Changes vs. What Stays the Same

The county changes to Albany for publication, then returns to your original county. Everything else stays the same throughout.

1

Only One Thing

What Changes as Part of the Publication Process

The county designation in your Articles of Organization filed with NY DOS:

Which county clerk designates your newspapers
Where you publish (Albany for the publication step)

Everything Else

What Does NOT Change

Your Service of Process (SOP) address
Your mailing address
Your physical business location
Where you operate
Your taxes
Your legal protections
Your business name
Your EIN or bank accounts

FAQ

Frequently Asked Questions

Everything you need to know about the county change strategy.

Is it legal to change my LLC county to save on publication?

Yes. There is no legal requirement that your LLC's county of organization match your physical business location. New York law allows LLCs to update the county listed in their Articles of Organization by filing a Certificate of Change (DOS-1359-f) with the NY Department of State. The state filing fee is $30.

Do I need a registered agent in Albany?

No. This is a common misconception. You only need a registered agent if you want legal documents delivered somewhere other than your SOP address. Changing your filing county to Albany does not require a physical presence in Albany, a registered agent service, a virtual office, or any ongoing relationship with Albany.

Will this affect my business address?

No. The county listed in your Articles of Organization is a filing designation, not your business address. Your SOP address, mailing address, and physical location remain exactly as they are.

Is this a loophole?

No. This is routine administrative filing. The law ties publication to the county on record at the time of publication. LLCs are explicitly permitted to update their county designation via Certificate of Change. Subsequent filings do not affect compliance with the publication requirement.

Why didn't my lawyer or accountant tell me about this?

Most attorneys and accountants focus on formation, operating agreements, and tax elections—not optimizing publication costs. Many aren't aware of the county-specific pricing differences or don't consider it part of their scope. Additionally, some services bundle publication with registered agent services, creating ongoing fees. They may not mention simpler alternatives.

What happens if I don't publish at all?

If you don't complete the publication requirement, your LLC's authority to conduct business in New York may be suspended, you may lose the ability to enforce contracts in NY courts, and members could face personal liability for LLC debts. However, your LLC isn't automatically dissolved. You can still complete publication late and restore full status.

What if I already started publication in my original county?

If publication has already begun (ads are running), changing counties would require starting over. The publication must occur in the county listed in your Articles of Organization at the time of publication. If you haven't started yet, you can still file the amendment first.

What happens to my county after publication?

After your Certificate of Publication is filed, we file another Certificate of Change to restore your LLC to its original county. Your LLC ends up exactly where it started—with publication complete. This county return is included in our service at no additional charge.

Can I still operate my business in NYC?

Yes. The county of organization has no bearing on where you operate. Your business can be located anywhere.

Why is Albany specifically used?

Albany County has some of the lowest newspaper publication rates in New York State, typically $250-400 for the newspaper ads alone. Other upstate counties have similar rates, but Albany is commonly chosen because of reliable, established newspapers, consistent processing times, and strong relationships with publications.

I'm past the 120-day deadline. Can I still do this?

Yes. You can still use the county change strategy even if you're past the deadline. We file the Certificate of Change first, then handle publication. The process is the same regardless of when you start.

🤔Common Questions

We Understand Your Concerns

If you're hesitant about the county change strategy, you're not alone.

💭

"This feels too good to be true"

We get it. Saving $700+ sounds like there must be a catch. But there isn't. This is simply how NY law works—publication is based on your county of organization, not your physical location. You're just using the system as it's designed.

🛡️

"What if something goes wrong?"

We guarantee delivery of your Certificate of Publication or a full refund of our service fee. We require accurate LLC information and timely responses from you. We've done this hundreds of times and have a proven process.

🏢

"I don't want to mess up my LLC"

The county change affects exactly one thing: where you publish. Your business address, your SOP, your taxes, your contracts, your bank accounts—none of that changes. Your LLC continues to operate exactly as before.

⚖️

"Is this actually legal?"

Yes. The NY LLC Law explicitly allows amendments to your Articles of Organization. There's no requirement that your county of organization match your physical location. This is routine administrative paperwork, not a loophole.

💡

"Why didn't anyone tell me about this before?"

Most attorneys and formation services focus on getting your LLC filed—not optimizing publication costs. Some services actually benefit from you paying more (through registered agent upsells). We exist specifically to solve this problem.
