Is it legal to change my LLC county to save on publication?
Yes. There is no legal requirement that your LLC's county of organization match your physical business location. New York law allows LLCs to update the county listed in their Articles of Organization by filing a Certificate of Change (DOS-1359-f) with the NY Department of State. The state filing fee is $30.
Do I need a registered agent in Albany?
No. This is a common misconception. You only need a registered agent if you want legal documents delivered somewhere other than your SOP address. Changing your filing county to Albany does not require a physical presence in Albany, a registered agent service, a virtual office, or any ongoing relationship with Albany.
Will this affect my business address?
No. The county listed in your Articles of Organization is a filing designation, not your business address. Your SOP address, mailing address, and physical location remain exactly as they are.
Is this a loophole?
No. This is routine administrative filing. The law ties publication to the county on record at the time of publication. LLCs are explicitly permitted to update their county designation via Certificate of Change. Subsequent filings do not affect compliance with the publication requirement.
