The Requirement

NY Law Requires a County Designation

Every New York LLC must designate a county of organization when forming. This is a statutory requirement, not an administrative preference.

NY LLC Law §203(e)(2)

Section 203(e)(2) requires the Articles of Organization to state "the county within this state in which the office of the limited liability company is to be located."

What this means

Every New York LLC has a designated county on record with the NY Department of State. That county can be any of the 62 counties in New York, chosen by the person forming the LLC. The designation is made in the Articles of Organization and can be updated later by filing a Certificate of Change (DOS-1359-f).

The Mechanism

Publication Runs in the Designated County

NY LLC Law §206 ties publication directly to the county listed in your Articles of Organization. Newspapers are designated by the clerk of that county, and the notice runs there.

Section 206 requires a notice to be published "in two newspapers of the county in which the office of the limited liability company is located, as designated by the clerk of that county."

What this means

The county on record controls where publication happens and which newspapers are designated. When the designated county changes, publication moves with it. The clerk of the newly designated county assigns the newspapers for that notice.

The Freedom

NY Does Not Require Proof of Address for the County Designation

Section 206(a)(3-a) lists the items a published notice may contain. The statute phrases several of them with the qualifier "if any."

The section lists items such as the principal business location "if any" — language that reflects the fact that an LLC may or may not have such an address.

What this means

NY DOS does not require proof of a physical address in the designated county. The county is a statutory designation, not an address verification. This is a feature of the statute, not a workaround.

The customer designates the county. LLC Publishers does not recommend one.

The Permanence

Once Publication Is Complete, You Stay

The designation is forward-looking. After publication is filed, there is no statutory requirement to republish if you later change any of the items that appeared in the notice.

What this means

Your LLC remains in the designated county going forward. The publication requirement is satisfied once. You do not need to republish in the future.

The Difference

Our County Change Service: Only the County Changes

Some providers offer NY LLC publication bundled with registered-agent service. That bundled service is built around a single county — the county of the provider's own registered-agent address, typically Albany or Rockland — and to deliver publication at the bundled price, the LLC's record is first changed to match it: the county designation, the registered agent, and the service-of-process address are all updated, and an ongoing registered-agent relationship with recurring annual fees begins. None of those changes is required to complete publication under NY LLC Law §206; they follow from the provider's publication infrastructure being concentrated in one county. The resulting county designation matches the provider's location, which may or may not reflect where the customer's business actually operates — under §203, the county of the LLC's office (§203(e)(2)) and the registered agent (§203(e)(5)) are separate elements of the Articles of Organization, and an agent's address in a county does not by itself make that county the LLC's designated county.

LLC Publishers offers a county change document-filing service. The owner designates a county; we prepare and file a single Certificate of Change (DOS-1359-f) with the NY Department of State that updates only the county of organization, to the county the owner designated. Everything else on the LLC's record stays exactly as it was: the registered agent (or absence of one) and the service-of-process address. Publication then runs in the designated county. Section 206(a) provides that once publication is complete, "no further or amended publication or republication shall be required." The county-change fee is a flat $100, state fee included, one-time, with no recurring charges — our engagement ends when publication is complete.

Newspaper rates vary by county. For example, publication runs about $1,795 in Manhattan and about $395 in Albany — the difference reflects the rate gap between those counties' newspapers. You designate the county; we file the Certificate of Change and run publication. LLC Publishers does not recommend a county.

Three Ways to Update Your County

How County Changes Get Filed

Updating your county of organization means filing a Certificate of Change (DOS-1359-f) with the NY Department of State. There are three common ways this happens.

File it yourself

You can file DOS-1359-f directly with the NY Department of State. Mail or fax the completed form to NY DOS and pay the $30 state filing fee. You handle the form, the payment, and the follow-up with DOS.

A New York attorney can prepare and file the Certificate of Change on your behalf. Fees vary by firm.

Direct LLC Publishers to file it

As part of your publication order, we file the Certificate of Change for a flat $100 fee (state fee included). We fax the filing directly to NY DOS, track it to acceptance, and automatically begin your publication the moment the change is confirmed — no extra step from you.

What is the "Albany loophole" or "Albany strategy" for NY LLC publication?

"Albany loophole" and "Albany strategy" are informal nicknames — not legal terms — for publishing in a lower-cost county such as Albany instead of a higher-cost county such as New York County (Manhattan). Providers do this in two different ways. Some bundle publication with registered-agent service: the provider's pricing is built around its own county (typically Albany or Rockland), and the LLC's record is changed to match it as part of signup — county designation, registered agent, and service-of-process address — with recurring annual fees thereafter; none of those changes is required to complete publication, and the resulting county matches the provider's location rather than necessarily the customer's.
