What happens if I miss the 120-day deadline?
Under NY LLC Law § 206, missing the 120-day deadline means your LLC's authority to carry on business in New York is suspended. It carries no monetary fine, and there is no deadline to fix it — once you publish and file the Certificate of Publication, Section 206 annuls the suspension.
